1. Preamble
Techno Sportswear Private Limited (the "Company") is committed to a fair, transparent and ethical work environment. This whistle blower (vigil mechanism) policy (“Policy”) establishes the Company's vigil mechanism, through which directors and employees may report genuine concerns, and provides safeguards against victimisation of those who use it. Any such complaint received under this Policy shall be referred to the Internal Committee or the human resources function, as the case may be, under intimation to the complainant.
3.3 Disclosures from persons other than directors and employees, including vendors, customers, consultants and contractors, may be received and dealt with under this Policy at the discretion of the Designated Director. 6.2 A decision to conduct an investigation is not by itself an accusation and shall be treated as a neutral fact-finding process.
6.3 Subjects shall normally be informed in writing of the allegations at the outset of a formal investigation and given a reasonable opportunity to respond during the investigation. This does not apply where the Designated Director considers that informing them at that stage may prejudice the investigation.
6.4 Subjects shall co-operate with the Designated Director and any Investigator, to the extent that such co-operation does not compromise any protection against self-incrimination available under applicable law.
6.5 Subjects shall not interfere with the investigation. Subjects shall not withhold, destroy or tamper with evidence, and shall not influence, coach, threaten or intimidate witnesses.
6.6 The investigation shall normally be completed within 90 (ninety) days of receipt of the Protected Disclosure. The Designated Director may extend this period for reasons recorded in writing.
7. Decision and Reporting
7.1 On completion of the investigation, the Designated Director shall, for reasons recorded in writing, either close the matter or direct (or recommend to the Board) such action as he/she considers appropriate. Such action may include disciplinary action against the Subject under the Company's disciplinary procedures, corrective measures, or reference of the matter to the appropriate authority. Where the Subject is a director, the findings shall be placed before the Board, and the director concerned shall not participate in its deliberations on the matter. The Whistle Blower and the Subject shall be informed of the outcome in writing.
7.2 Nothing in this Policy restricts the right of a Whistle Blower to report any matter to a competent statutory, regulatory or law-enforcement authority as permitted by law.
7.3 The Designated Director shall place before the Board, at least once in every financial year, a summary of the Protected Disclosures received, investigations conducted, findings and action taken, without disclosing the identity of any Whistle Blower.
7.4 The details of establishment of this vigil mechanism shall be disclosed in the Board's report and on the Company's website, if any, in accordance with Section 177(10) of the Companies Act, 2013.
8. Guiding Principles
8.1 The identity of the Whistle Blower and the information provided by him/her shall be kept confidential, except to the extent that disclosure is required by law, in legal proceedings or for the purposes of the investigation. Every person involved in receiving or investigating a Protected Disclosure shall be bound by this obligation, and any breach shall be treated as misconduct.
8.2 Every Protected Disclosure shall be acted upon in accordance with this Policy, and no evidence shall be concealed or destroyed.
8.3 Every investigation shall be conducted honestly, neutrally and without bias.
8.4 A Whistle Blower shall not undertake any investigative activity other than as requested by the Designated Director or an Investigator.

9. Protection of Whistle Blowers
9.1 No Whistle Blower shall be subjected to discrimination, harassment, victimisation, retaliation, demotion, suspension, termination, denial of promotion or any other unfair employment practice by reason of having made a Protected Disclosure in good faith. 9.2 Any director or employee who serves as a witness or assists in an investigation shall be entitled to the same protection as the Whistle Blower.

The Designated Director shall examine it and direct appropriate remedial action, including reversal of any adverse action taken against such person.
9.4 No action shall be taken against a Whistle Blower for a Protected Disclosure made in good faith, even if it is not substantiated. However, a Whistle Blower who makes a disclosure that is knowingly false or mala fide, or who makes repeated frivolous complaints, shall be liable to suitable action, including reprimand, under Rule 7(5) of the Companies (Meetings of Board and its Powers) Rules, 2014 and the Company's disciplinary procedures. Such a Whistle Blower shall not be entitled to protection under this Policy in respect of that disclosure.
9.5 The protection under this Policy shall not prevent the Company from taking action against a Whistle Blower for misconduct unrelated to the Protected Disclosure, provided that such action is not taken by reason of the Protected Disclosure. A Whistle Blower who believes that any such action, or any complaint made against him/her after the Protected Disclosure, is retaliatory may refer it to the Designated Director under clause 9.3.
